These Terms of Service ("Terms") govern your access to and use of the ClozeEZ platform, website, and related services (collectively, the "Platform") operated by ClozeEZ ("Company," "we," "us," or "our"). By creating an account, logging in, or otherwise accessing the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
ClozeEZ is a real estate technology platform that enables buyers and sellers to search property listings, connect with real estate professionals and service providers, manage transactions, and access related tools and resources. The Platform is not a licensed real estate brokerage, legal services provider, or financial advisor. Nothing on the Platform constitutes legal, financial, or real estate advice.
You must be at least 18 years old and legally capable of entering into binding contracts to create an account. You agree to provide accurate and complete information during registration and to keep your account information current. You are responsible for all activity that occurs under your account and for maintaining the security of your login credentials. You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice.
By using the Platform, you acknowledge and agree that we collect information you provide directly (such as your name, email address, phone number, property information, search activity, and communications) as well as information collected automatically (such as device information, IP address, browser type, and usage data).
You expressly consent to the collection, use, and sharing of your personal information, including but not limited to: providing your information to third-party partners such as real estate agents, mortgage lenders, title companies, escrow companies, insurance providers, home service companies, and other real estate-related service providers; sharing data with marketing and advertising partners; selling or licensing data to third parties for commercial purposes; and using your data to improve our services, personalize your experience, and send you communications.
We may share your information with third parties without separately notifying you each time. You may opt out of certain marketing communications by following the unsubscribe instructions in those communications, but certain operational communications cannot be opted out of while you maintain an account.
Property listings, valuations, pricing estimates, and related data displayed on the Platform are provided for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of any listing information. Listing data may be sourced from third parties, public records, or user submissions, and may contain errors or omissions.
Sellers are solely responsible for the accuracy of the information they submit in connection with their listings. ClozeEZ is not responsible for any errors in seller-submitted content.
Nothing on the Platform constitutes legal, tax, financial, investment, or real estate brokerage advice. Any tools, estimates, or information provided — including but not limited to home valuations, mortgage estimates, and transaction guidance — are for general informational purposes only and should not be relied upon as professional advice. You should consult licensed professionals before making any real estate, legal, financial, or tax decisions.
The Platform may connect you with third-party service providers including real estate agents, mortgage lenders, title companies, and others. These third parties operate independently of ClozeEZ and are governed by their own terms and privacy policies. ClozeEZ is not responsible for the acts, omissions, or representations of any third-party partner. Any transaction, agreement, or relationship you enter into with a third-party partner is solely between you and that party.

All content on the Platform — including text, graphics, logos, software, and data compilations — is the property of ClozeEZ or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent. You retain ownership of content you submit to the Platform but grant us a perpetual, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.
Certain features of the Platform may require payment of fees. All fees are disclosed prior to purchase and are non-refundable unless otherwise stated. We reserve the right to change our fee structure at any time with reasonable notice. Continued use of a paid feature after a fee change constitutes acceptance of the new fee.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOZEEZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ClozeEZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. You waive any right to participate in a class action lawsuit or class-wide arbitration.
You may opt out of arbitration by sending written notice to us within 30 days of first accepting these Terms. If you opt out, disputes shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Subject to Section 12, you consent to the exclusive jurisdiction of courts located in Maricopa County, Arizona for any disputes not subject to arbitration.
We may update these Terms at any time. When we do, we will update the effective date above and increment the version. If you have an existing account, you will be prompted to review and accept the updated Terms the next time you log in. Continued use of the Platform after accepting the updated Terms constitutes your agreement to them. If you do not accept the updated Terms, you must stop using the Platform and may close your account.
These Terms constitute the entire agreement between you and ClozeEZ with respect to the Platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right under these Terms does not constitute a waiver of that right. You may not assign your rights under these Terms without our consent. We may assign our rights and obligations freely.
