ClozeEZ is a software platform. We are not a licensed real estate brokerage, real estate agent, or real estate professional. We do not represent buyers or sellers, do not negotiate the terms of any transaction, do not provide opinions of value, do not hold earnest money or any other transaction funds, and do not participate in the brokerage of real property as defined under Arizona Revised Statutes § 32-2101 or any other state’s real estate licensing law.
All transactions completed on the Platform are For-Sale-By-Owner (FSBO) transactions between independent buyers and sellers. Any fee charged by ClozeEZ is a flat software-platform fee for access to and use of the Platform tools, and is not a real estate commission, brokerage fee, or compensation for negotiation, representation, or advice.
Contract templates, document generators, and informational content available on the Platform are provided as software tools only. They are not legal advice, do not constitute the practice of law, and are not a substitute for consultation with a licensed attorney. Users are strongly encouraged to obtain independent legal counsel before signing any contract, addendum, or other legal document generated using the Platform.
The Platform may display information about, or facilitate introductions to, third-party real estate service providers including but not limited to mortgage lenders, title insurance companies, escrow agents, home inspectors, home insurance providers, appraisers, and home warranty providers. ClozeEZ is not affiliated with, owned by, or controlled by any such provider, except as expressly disclosed. ClozeEZ does not provide mortgage, title, escrow, insurance, inspection, appraisal, or warranty services and does not charge or receive any fee, kickback, or other thing of value in exchange for referring users to any settlement-service provider in violation of the Real Estate Settlement Procedures Act (12 U.S.C. § 2601 et seq.). Any compensation received from a third-party service-provider partner is for advertising or marketing services rendered at a market rate, not for the referral of settlement-service business, and is disclosed on the relevant page.
Property information displayed on the Platform is aggregated from third-party sources, public records, and seller-provided information. ClozeEZ does not independently verify, warrant, or guarantee the accuracy, completeness, currency, or reliability of any property data, including price, square footage, lot size, bedroom or bathroom counts, year built, school assignments, HOA fees, property tax estimates, or any other listing detail.
Any home valuation, price estimate, comparable sale, or market analysis tool offered on the Platform is provided for informational purposes only and does not constitute a formal appraisal, opinion of value, or broker price opinion. Users are encouraged to obtain an independent appraisal from a state-licensed appraiser before making material financial decisions based on any Platform-generated valuation.
ClozeEZ is committed to and abides by the federal Fair Housing Act (42 U.S.C. §§ 3601-3619), the Equal Credit Opportunity Act, and all applicable state and local fair housing laws. The Platform does not discriminate against any person on the basis of race, color, religion, sex, handicap, familial status, national origin, sexual orientation, gender identity, or any other characteristic protected by law. Reports of suspected housing discrimination may be filed with the U.S. Department of Housing and Urban Development (HUD) at 1-800-669-9777 or hud.gov.
ClozeEZ makes no warranty, express or implied, that any listing will sell, that any buyer will close, that any specific sale price or savings will be achieved, or that any transaction completed on the Platform will result in a successful closing. Statistics, calculators, or examples displayed on the Platform are illustrative and are not a prediction of any specific user’s outcome.
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, ClozeEZ disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, ClozeEZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to use of the Platform, regardless of the legal theory under which any such claim is brought. Total cumulative liability for any claim arising out of or relating to use of the Platform is limited to the amount of fees actually paid by the user to ClozeEZ in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.
These disclaimers are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these disclaimers or use of the Platform shall be resolved in the state or federal courts located in Maricopa County, Arizona.
